Changes to the Constitution and Placement Materials of the Atlas Prime Fund

(Dear Investors, the following changes have been made to the Constitution and Placement Materials of the Atlas Prime Fund in favor of unit holders:  

• The success fee has been reduced from 20% to 15%;  
• The management fee calculation methodology has been changed — it is now calculated based on the average assets for the month (previously: based on assets at the end of the month);  
• The frequency of success fee payments — now quarterly (previously: monthly);  
• Issuance of units: units are now divided up to 8 decimal places (previously 3 decimal places); units are also issued on the day the Fund receives the assets (previously: on the next working day after funds were credited to the Fund's brokerage account);  
• Calculation of the net asset value per unit — now calculated to 8 decimal places (previously no precision limit was set).).
